HOUSTON, TEXAS – Gray Reed represented the owners of mfPHD, LLC, a Texas-based leader in modular stainless steel wall systems for hospitals and healthcare facilities, in the sale of the company's design and installation operations to Michigan-based Stryker Corporation (NYSE: SYK), one of the world's largest medical technology companies.
Under the terms of the complex transaction, Stryker acquired mfPHD's Fortress product line and all related design, installation and project management operations. The sellers retained ownership of the manufacturing business that fabricates the Fortress wall systems.
"This was a highly strategic transaction that allowed our clients to realize significant value from their design/installation business while preserving their core manufacturing operations," Gray Reed Partner David Peterman said. "Gray Reed's extensive experience with corporate/M&A and commercial contracts was critical to protecting our client's interests across all components of this multi-layered transaction."
In addition to Peterman, other Gray Reed attorneys involved included Dan Kroll, Daryl Bailey, Savannah Warner, Kyle Benson and Max Van Benschoten.
