Max Van Benschoten is a tax and corporate lawyer who advises partnerships, corporations, entrepreneurs and investors on domestic and cross-border M&A transactions and internal restructurings, with a focus on maximizing after-tax outcomes across every stage of a transaction. He works closely with clients and their advisors to develop strategies that achieve their business objectives while minimizing tax risk.

More broadly, Max counsels clients across industries ranging from energy and commercial real estate to healthcare and technology on the federal income tax consequences of complex domestic and cross-border transactions. His work includes tax-free mergers and acquisitions, joint venture formations, private equity transactions, inbound investments by foreign investors into U.S. outbound investment in controlled foreign corporations and PFICs, tax treaty analysis, partnership recapitalizations, carried interest structuring, and structuring rollover equity in a sale transaction.
