Corporate Law

Gray Reed & McGraw's Corporate Law group assists clients in almost every aspect of their business—from formation through restructuring. We assist clients with choosing the proper business organization for their needs based on the client's preferred governance arrangements, ownership interests, funding strategies and tax treatment. We have assisted clients with formations of corporations, limited liability companies, partnerships, business trusts and other common law associations in jurisdictions both within and outside of the United States.

On a daily basis, our attorneys are involved in transactions concerning the structuring of ownership and management rights in business organizations. We take pride in helping our international clients navigate the complex web of local, state, federal and transnational statutes and regulations that affect their structure and operation.

We have experience representing start-ups, early-stage companies, emerging growth companies and mature companies in structuring, negotiating and closing all forms of financings that range from seed and first round venture financings to later stage investments. Our attorneys have extensive experience advising public and private companies with respect to a full range of M&A transactions, including acquisitions and divestitures, mergers, recapitalizations, going private transactions and strategic alliances.

Our group has global experience in business transactions, having assisted clients participating in transactions throughout the United States, the entirety of North America, Europe, Latin America, Africa, Australia and Asia. Often, the firm acts as general counsel for clients who do not have a general counsel actively participating in the project.

The firm makes our attorneys' wide-ranging industry experience available to clients as part of our assistance. We engage in transactions in some of the most active areas of industry, including: oil and gas, light and heavy manufacturing, alternative energy production, product distribution, green services, banking, healthcare and e-commerce. We also assist clients with the formation and capitalization of their businesses, the structuring of their ownership and management rights and duties, the acquisition and divestiture of additional businesses and assets—from both a financial and strategic point of view.

Moreover, members of our Corporate/Business Organizations group draw upon the expertise of our attorneys who practice in taxation, real estate, trademarks, employment law, and securities and healthcare to help facilitate our clients' business.
