We assist clients from a financial and strategic point of view with the formation of their businesses, including analysis of tax and regulatory issues, thoughtful crafting of equity ownership structures, governance rights, capitalization mechanics and debt and equity financing as well as the acquisition and divestiture of businesses and assets. We help clients navigate complex acquisition, growth and divestiture strategies, including negotiation of letters of intent and term sheets, legal and business due diligence, auctions, drafting and negotiating the definitive documentation and post-closing integration.  Our team also serves as capital markets and securities counsel to middle market and larger publicly traded companies.
