Brittan Johnson is a corporate and transactional lawyer focusing on the unique needs of mid-size companies, private equity firms, developers and startups throughout their life cycle. He has experience structuring a broad range of sophisticated and high-value transactions including mergers and acquisitions, real estate portfolio acquisitions and dispositions, financings, recapitalizations, and private securities offerings.

Brittan's practice covers a broad range of industries including commercial real estate, private equity, energy, health care, retail, construction, hospitality and lending. He regularly assists clients with acquisition financing from various sources including traditional lenders, institutional capital, family offices, syndicated loan transactions and agency loans. Brittan has extensive experience handling corporate structuring for complex 1031 transactions. He also serves as outside general counsel to clients advising on various legal and business issues.

Representative Experience
  • Represented developer in issuance of in tax-exempt bonds aggregating 89 million for reimbursement of eligible public improvements for three single family development projects.
  • Represented purchaser, a private equity firm, in a 90 million stock purchase of interests in three single asset entities holding multifamily assets from lender group after foreclosure and closing of new debt facility.
  • Represented physician group in asset acquisition of several standalone emergency room practices in the greater Houston area with respect to acquisition transaction including due diligence, debt facilities, leases, and equipment acquisition.
  • Represented real estate investment firm in partial sale and recapitalization of ten multi-family property portfolio to Saudi and New York based equity group. Drafted and negotiated participation agreement; management and fee agreements; joint venture agreement, private offering documents and debt facility modification agreements.
  • Represented real estate investment firm in acquisition of a Class A office building in Houston’s Westchase District. The transaction included purchase of a participation interest in the mezzanine debt facility, formation of a joint venture between mezzanine lender and the client, and ultimately conversion of the mezzanine interests to equity in the joint venture and assumption of existing mortgage loan from seller. It also included private fund formation and related best efforts offerings for same.
  • Represented landowner of 150 year old ranch near Austin Bergstrom Airport in stock sale under bankruptcy plan to New York private equity fund and lease back of the real estate for ongoing business operations.
  • Represented a domestic technology startup as issuer in connection with friends and family and seed funding rounds. Drafted and negotiated various stockholder documents and related corporate formation matters and employee equity compensation program.
  • Represented real estate investment firm in partial sale and recapitalization of ten multi-family property portfolio to Saudi and New York based equity group. Drafted and negotiated participation agreement; management and fee agreements; joint venture agreement, private offering documents and debt facility modification agreements.
  • Represented hotel developers in connection with purchase of distressed hotel assets in Colorado including new equity and debt facilities in connection with same.
  • Represented childcare facility operator in connection with acquisition of Texas daycare facilities and negotiation of joint venture agreement with equity capital partner.
  • Represented private mezzanine lender in connection with making short-term operational loans to hotel operators.
  • Represented wastewater facility developer/owner in finance transaction secured by future MUD receivables to finance construction of wastewater and water treatment facilities.
