- Represented a global business and luxury travel firm in connection with its $50,000,000 reorganization and preferred and common equity investment by a global travel management company, along with an amendment to the Company’s credit facility.
- Serves as outside general counsel for a privately held pool and water maintenance service provider serving the gulf coast.
- Represented Houston based commercial landscape service provider in the $15,000,000 equity sale to a private equity backed serial acquirer, along with the pre-closing Internal Revenue Code F-Reorganization of the Company.
- Represented one of the nation’s largest manufacturer’s representative firms serving the electrical industry in its strategic merger which resulted in a combined business that together employes more than 500 people.
- Represented a Texas based environmental and industrial waste services business in the $51,000,000 sale to a strategic private equity backed buyer, along with the negotiation of the post-closing rollover equity and founder compensation package.
- Represented the owners of a regional industrial recycling center in the sale of the Company to a strategic buyer.
- Represented a Houston based design and architectural millwork company in the $25,000,000 sale of its operating assets to a publicly traded company.
- Serves as outside general counsel for a privately held MedTech company.
- Represented the purchaser in the $6,800,000 acquisition of a business that specializes in the manufacturing and sale of aftermarket shale shaker screens for use in the oil and gas industry.
- Represented a private equity partner and asset manager in the formation of various private equity funds and creation of a novel online investor portal designed to bring private equity investments into the mainstream.
- Represented the existing entity in an equity investment and reorganization in conjunction with a $20,000,000 loan commitment from a private equity investor into a business specializing in the purchase, sale and rent-to-own of residential storage buildings, carports, gazebos and other manufactured structures.
- Represented national wholesaler of products and services for the multi-family apartment industry in its multi-year serial acquisition and expansion strategy, ultimately leading to the acquisition of the Company by a multi-national publicly traded company.
- Represented the seller in the $50,000,000 acquisition of a business specializing in providing nitrogen gas and other related services to customers in the oil and gas industry.
- Represented the members of a business that developed innovative and proprietary offshore exploration technology in the divesture of the Company’s intellectual property to a supermajor oil company.
- Represented the Seller in the $6.2M sale of a point-of-sale and other restaurant and entertainment technology service business to a strategic buyer.
- Represented a global business and luxury travel firm in connection with its $50,000,000 reorganization and preferred and common equity investment by a global travel management company, along with an amendment to the Company’s credit facility.
- Represented the borrower in a $38,000,000 senior term loan and a revolving loan not to exceed $7,000,000 to a company that provides products relating to the exploration and refining of oil, including traveling blocks, rotary tables, swivel joints and pressure gauges.

- Represented the seller in the $13,500,000 acquisition of a business specializing in providing wireless broadband and internet services.
- Represented a Texas based environmental and industrial waste services business in the $51,000,000 sale to a strategic private equity backed buyer, along with the negotiation of the post-closing rollover equity and founder compensation package.
- Represented affiliated seller entities in the sale of a fabrication and millwork business to a subsidiary of a publicly traded strategic buyer.
- Represented the borrower in a senior loan comprised of an $11,300,000 term loan and a revolving loan not to exceed $2,000,000 as well as a subordinated non-revolving $5,000,000 loan by a national veterinary medical service provider.
