Constanza Recchini assists domestic and international clients with corporate governance and transactional matters, including mergers and acquisitions, divestitures, joint ventures, entity formations and general corporate advisory matters. She helps clients of diverse sizes across a wide number of industries and markets, including upstream energy, oil and gas services, manufacturing, private equity, utilities, real estate and more. She has successfully negotiated, structured and assisted with principal and ancillary deal documentation for a expansive range of transactions, and reviewed, drafted and negotiated documentation in a number of non-transactional contexts.

Representative Experience
  • Represented IRISNDT, a global provider of non-destructive testing (NDT), inspection and integrity engineering services, in its sale from First Reserve, a global private equity investment firm, and various minority owners to Apave Group, an international technical risk management firm.   • Represented Texas Pacific Land Corporation (NYSE: TPL) in the acquisition of Permian oil and gas mineral and royalty interests spanning across approximately 7,490 acres located primarily in the Midland Basin for $286 million in cash. 
  • Represented the shareholders of two corporations in the distribution and transportation services in their sale to a strategic, equity-backed buyer.
  • Represented company offering educational programs in its equity sale, rollover and debt renegotiation.
  • Represented natural gas wholesaler in its purchase of commercial retail electricity supplier in the southeast United States.
  • Represented energy-focused, private equity buyer in its acquisition of upstream assets across Texas.
  • Represented seller of industrial cleaning service business to a construction, maintenance and fabrication provider.
  • Secondment at an international natural resources company assisting with upstream infrastructure in the Gulf of Mexico, including acquisitions and divestitures of offshore assets in the Gulf of Mexico, day-to-day operational matters, and internal reporting and corporate governance requirements.
  • Represented a commercial and industrial equipment supplier in its internal reorganization in Peru, Ecuador and Venezuela.
  • Represented an international company in connection with its divestiture of its LNG sale and purchase arrangements with a proposed U.S. LNG export terminal.
  • Represented an exploration and production company in the sale of its oil and gas assets and related pipeline located in the Permian Basin.
