After spending several years as in-house tax counsel and a consultant for various companies, I know firsthand how important it is for clients to hire outside legal counsel who can exercise good judgment that goes beyond understanding the law. In my practice, good judgment boils down to finding the most effective legal and business solution to any problem. 

David Coon is a tax lawyer with significant experience advising clients on a wide variety of matters, including inbound and outbound federal income tax planning, investment structuring, regulatory compliance and maximizing tax efficiency in mergers, acquisitions and other high-value transactions. His clients range from middle-market companies and global corporations to family-owned businesses and high-net-worth individuals across several industries, including insurance, private equity, banking, investment management, energy, real estate and many more.

Clients rely on David to guide them through complex international and cross-border matters, including tax planning, strategic transaction support, audit issues, compliance efforts and various other international corporate law matters. He has helped businesses resolve difficult issues and close challenging deals in key jurisdictions around the globe, with an emphasis on Latin America and Europe.

Before joining Gray Reed, David worked as in-house tax counsel for a private-equity-backed insurance company advising on investment structures, international tax issues, in-house tax accounting and compliance matters, and merger issues. He helped structure investments and manage permanent establishment risk across multiple jurisdictions for a $160B insurance reserve portfolio, including several deals in the $250M to $400M range and some as large as $2B. Previously, David worked as a tax manager for a Big Four accounting firm where he led a team dedicated to advising clients on a broad range of strategic tax planning and accounting matters.
