I have negotiated transactions opposite big firms, solo practitioners and everything in between, and I have found that by conveying reasonable expectations early on in the process, I am able to keep transactions focused on the important issues, which results in our client protecting and maximizing their interests in the most economical manner.

Ben Smith is a general corporate and transactional lawyer dedicated to helping clients resolve day-to-day issues and navigate challenging business deals and problems. His practice is primarily focused on the negotiation and structuring of mergers and acquisitions, a variety of commercial agreements, private equity offerings, and asset and stock sales. Ben works with clients in several industry sectors, ranging from manufacturing, distribution and steel fabrication to oil and gas, restaurant franchising, healthcare and private aviation.

In addition, Ben serves as outside general counsel for certain clients on a wide range of business matters, including entity formation and structuring, corporate governance and formalities, and the development of effective ways to streamline high-volume commercial contract processing.

Ben is a graduate of Baylor University and the University of Houston Law Center, where he received the American Jurisprudence (AmJur) Award for the highest grade in two legal writing classes.

  • Represented insurance brokerage company in recapitalization by private equity fund.
  • Represented provider of laboratory testing services for oil and gas wells, produced fluids and production and completion chemicals in $15 million recapitalization and investment by a private equity fund.
  • Represented valet parking and self-parking company in sale of equity to strategic buyer.
  • Represented oil and gas company in the contribution and sale of equity in maquiladora.
  • Represented Tellurian Investments Inc. in a merger with Magellan Petroleum Corporation.
  • Represented two commercial laundry equipment vendors in sale of assets to NYSE company.
  • Represented agents, lenders and borrowers in oil and gas reserve-based financings, including acquisition financings and financings secured by both onshore and offshore properties.
  • Represented commercial building contractor in asset sale to employee.
  • Represented six limited partnerships holding mineral interests in merger with public company.
  • Represented numerous entrepreneurs in the formation of new ventures, from single-member LLCs to complex partnerships.
