Tanner represents individual investors and companies in general corporate transactions such as entity formation and purchase and sale agreements. Tanner has experience advising in matters involving mergers and acquisitions, joint ventures, reorganization, and private debt offerings and/or equity offerings. In addition, Tanner has experience advising companies with public filings with the SEC.

Representative Experience
  • An acquisition of a private beverage distributor valued at approximately $77 million
  • Represented Gulf Pacific, Inc. in a sale of its equity to Gulf Pacific Acquisition, LLC for $150 million. 
  • Represented KWS Manufacturing Company, Ltd. in a sale of their partnership equity to Kadant Inc., a public corporation, for $76 million.
  • Represented various clients in restructuring sell substantially all of their assets under Section 363 sales, including nation-wide restaurants, midstream oil and gas, and online sales companies.
  • Represented and negotiated the sale of Buca Di Beppo’s nationwide restaurants in a 363 sale.
  • Counseled a family medical practice in the creation and contribution to a joint venture, combining multiple practices to form a more efficient and robust network covering the Dallas-Fort Worth metroplex with a total valuation of $36 million. 
  • Represented a regional software company in offering a minority position of $30 million to a large private equity firm.
  • Represented an aerospace company in a sale of all of its equity to an institutional buyer for $28.5 million.
  • Represented the purchasers in the acquisition of a large crane vessel used for decommissioning oil and gas facilities in the Gulf of Mexico, for a total purchase of $27 million.
  • Represented Epsilon Energy, a public company, in an all-stock transaction valued at $85 million of various oil and gas assets.
