Randy G. Holcombe, CPA

Based on my private practice and in-house experience, I take a detailed approach in assessing the key issues unique for each business transaction while remaining cost-effective and efficient.

Randy Holcombe is a transactional lawyer who primarily counsels clients in mergers and acquisitions, public issuances and private placements of debt and equity and handles a wide range of general corporate and securities matters.

Before joining Gray Reed, Randy worked as in-house counsel in roles of increasing responsibility at a publicly-traded investment firm, where he managed legal matters related to corporate finance, portfolio investments, compliance with SEC, stock exchange and other applicable rules, regulations and internal policies.

Prior to practicing law, Randy worked as a CPA and served as a Senior Auditor in the Assurance and Business Advisory Services group at UHY LLP, where he planned and led financial statement and internal control audits for clients in the oilfield service, health care and investment industries.

  • Represented the buyer in the $142 million purchase of a vehicle manufacturer.
  • Represented the seller in the unique $70 million sale of its business to its largest competitor.
  • Represented the seller in the $22.5 million sale of its equity interests in a privately held company.
  • Represented the buyer in an asset acquisition of a magnetic ranging technology and services company.
  • Represented a healthcare professional association in the sale of its business.
  • Represented the buyer in the $6.5 million purchase of equity interests in a privately held company.
  • Represented the buyer in the $6 million debt and equity investment in a privately held company.
  • Assisted a multinational company in a $4.5 billion dollar acquisition of approximately 300 industrial assets located across 18 states in the U.S.
