Randy Holcombe is a corporate lawyer with deep experience advising clients on a wide range of transactional, securities, governance and compliance matters. He has negotiated and structured many types of transactions, including mergers and acquisitions, public issuances and private placements of debt and equity securities, joint ventures, master service agreements and a variety of other commercial deals. Whether he’s helping a startup raise capital or guiding a company through a high-stakes acquisition, Randy excels at streamlining the process and tailoring the strategy to achieve his client’s key objectives.

Before joining Gray Reed, Randy served as in-house counsel in roles of increasing responsibility at a publicly-traded investment firm. He managed legal matters covering a number of areas, from corporate finance, portfolio investments and commercial transactions to regulatory compliance, corporate governance and day-to-day business issues.

In addition, Randy previously worked as a CPA and a Senior Auditor in the Assurance and Business Advisory Services group at UHY LLP, where he planned and led financial statement and internal control audits for clients operating across the U.S. and abroad in the oilfield services, healthcare and investment industries.

Representative Experience
  • Represented the developer of a 500 unit multifamily project in its land acquisition, development  and construction matters, $50MM construction financing, and $35MM equity investment.
  • Represented the buyer in the $142 million purchase of a vehicle manufacturer.
  • Represented the seller in the unique $70 million sale of its business to its largest competitor.
  • Represented the seller in the $22.5 million sale of its equity interests in a privately held company.
  • Represented the buyer in an asset acquisition of a magnetic ranging technology and services company.
  • Represented a healthcare professional association in the sale of its business.
  • Represented the buyer in the $6.5 million purchase of equity interests in a privately held company.
  • Represented the buyer in the $6 million debt and equity investment in a privately held company.
  • Assisted a multinational company in a $4.5 billion dollar acquisition of approximately 300 industrial assets located across 18 states in the U.S.
