John Bakht is a corporate lawyer and strategic advisor with over 25 years of experience guiding clients through all types of transactional, commercial, compliance, operational and governance matters. He represents a diverse range of clients, from energy services and E&P companies to manufacturers, technology developers and other businesses spanning the tech, services, energy and industrial sectors. John has negotiated and structured hundreds of domestic and international transactions, including complex mergers and acquisitions, stock and asset purchases, public and private securities offerings, financing transactions, joint ventures, master service agreements, technology licensing agreements and many more.

Clients also rely on John as their outside general counsel to advise on a variety of issues, including significant board and executive decisions, corporate governance matters, general commercial transactions, competition matters, entity structuring, managing through financial distress, SEC, FCPA and other regulatory compliance, intellectual property protection and licensing issues, partner and shareholder disputes, employment contracts, and trending Environmental, Social and Governance (ESG) initiatives.

Before joining Gray Reed, John served as Executive Vice President, General Counsel, Chief Compliance Officer and Corporate Secretary of BJ Services, which at one time was among the largest independent upstream oil and gas services companies in North America. From 2015 to 2017, he served as General Counsel of CARBO Ceramics, a manufacturing, environmental services and commercial software licensing company. Previously, John was Vice President (Legal) at Baker Hughes Incorporated, where he partnered with senior management to execute numerous investments, M&A transactions and complex commercial and field development agreements. Before his in-house roles, he practiced corporate and securities law at a nationally recognized law firm.
