Licensed in both Texas and Louisiana, Brooke Sizer focuses on advising upstream oil and gas clients on the entire range of transactions and daily operational issues involved in the acquisition, divestiture, exploration, development, production, marketing and transportation of crude oil and natural gas. Her experience in handling complex oil and gas deals is diverse, ranging from purchases and sales, master service agreements and pooling and unitization agreements to joint operating agreements, drilling contracts and a variety of commercial transactions. Brooke is Board Certified in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization.

Before focusing on transactional work, Brooke conducted title examinations and prepared opinions for oil and gas producers with operations in Texas and Louisiana. She often supports the firm’s trial lawyers in a wide range of oil and gas litigation and land disputes, advising on title issues, contract interpretation and industry regulations. Clients also rely on Brooke to resolve mineral liens for onshore and offshore properties in multiple jurisdictions.

  • Assisted in the representation of Buyer in the acquisition of producing oil and gas assets in Ward County, Texas.
  • Assisted in the representation of Seller in the divestiture of over 20,000 net mineral acres in Roosevelt County, New Mexico.
  • Assisted in the representation of Seller in the divestiture of producing oil and gas properties in the SCOOP play in Oklahoma.
  • Assisted in the representation of Seller in the divestiture of both developed and undeveloped acreage in East Texas.
  • Assisted in the representation of Buyer in the acquisition of producing oil and gas assets in the Delaware Basin.
  • Assisted in the representation of Seller in divestiture of over 20,000 net mineral acres in South Texas Eagle Ford.
  • Assisted in the representation of Buyer in acquisition of $15 million in producing properties in Burleson County, Texas.
  • Assisted in the representation of Buyer on acquisition of over 6,000 net mineral acres in South Texas Eagle Ford.
  • Assisted in the representation of Buyer on acquisition of approximately 7,000 net acres and 30 producing wells in South Texas Eagle Ford.

Corporate/Other Matters

  • Routinely review and negotiate master service agreements.
  • Prepare original drilling title opinions, division order title opinions, and supplemental drilling and division order title opinions.
  • Prepare mineral liens for both onshore and offshore properties. 
  • Draft and review joint operating agreements, pooling and unitization agreements, deeds, assignments, and other agreements related to exploration and development.
  • Research and advise clients on various issues associated with the exploration and development of oil and gas.
